1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and VISIONTAP LIMITED ("VISIONTAP", "we", "us", or "our") governing your access to and use of CherryTalk, including the CherryTalk mobile application, website, AI chat features, story events, virtual items, subscriptions, and related services.

By creating an account, signing in, purchasing items, subscribing, or using CherryTalk, you agree to these Terms and our Privacy Policy. If you do not agree, do not use CherryTalk.

2. Eligibility and Accounts

You must be at least 16 years old and legally able to use CherryTalk and agree to these Terms. If the law where you live requires a higher minimum age, that higher age applies. If you are under the applicable minimum age, you may not create an account or use CherryTalk. You are responsible for your account, device, credentials, and all activity under your account. You must provide accurate information and keep your account secure.

CherryTalk supports Apple, Google, and email-based sign-in. We may suspend or terminate access if we reasonably believe your account is being used in violation of these Terms, applicable law, platform rules, or service security requirements.

3. AI Characters and Fictional Content

CherryTalk is an AI character role-play and interactive story service. Characters, scenes, events, relationships, messages, images, and story outcomes are fictional unless clearly stated otherwise. All CherryTalk characters are depicted as fictional adults. AI-generated content is created for entertainment and storytelling purposes.

AI-generated content may be inaccurate, unexpected, inconsistent, or unsuitable for some users. CherryTalk does not provide medical, legal, financial, professional, or emergency advice. You should not rely on generated content as factual advice or as a substitute for professional judgment.

CherryTalk may include mature or suggestive themes. We do not permit sexual content involving minors, attempts to sexualize minors, grooming, exploitation, or other illegal sexual content. We may restrict or remove content and suspend accounts to enforce these rules and applicable law.

4. User Content and Conduct

You are responsible for messages, prompts, choices, feedback, names, avatars, and other content you submit or upload to CherryTalk ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, and use User Content as needed to operate, maintain, secure, and improve CherryTalk.

You agree not to use CherryTalk to:

• violate law, platform rules, or third-party rights;
• harass, abuse, threaten, exploit, or harm others;
• submit illegal, hateful, sexually exploitative, or violent content;
• upload malware or attempt to disrupt the service;
• reverse engineer, scrape, automate, or overload CherryTalk without authorization;
• attempt to bypass payment, entitlement, rate limit, moderation, or security controls; or
• misrepresent your identity or impersonate another person.

5. Service Features

CherryTalk may include character chat, relationship progress, story events, dynamic event scripts, generated images, inspiration suggestions, feedback tools, local caches, sharing features, diamonds, and membership features. Features may vary by account, region, device, app version, platform availability, and service status.

We may add, modify, suspend, limit, or discontinue features at any time. We do not guarantee that any specific story, character, generated output, event, image, reward, or feature will remain available permanently.

6. Diamonds and Consumable In-App Purchases

Diamonds are in-app consumable virtual items used within CherryTalk. Diamonds have no cash value, are not money or property, are not withdrawable, are not redeemable for cash, and cannot be transferred, traded, sold, or exchanged outside CherryTalk.

Diamond packages may be purchased through the Apple App Store, Google Play, or on the CherryTalk website, where payments are processed by Stripe. The price, taxes, currency, and payment terms shown by the store or checkout page you use apply at the time of purchase. Website prices are listed in US dollars and applicable taxes are calculated at checkout. Bonus diamonds, first-purchase promotions, daily check-in rewards, or other rewards may be changed, limited, or discontinued at any time.

We may deduct diamonds when you use paid features such as chat messages, inspiration, dynamic events, or other premium interactions. Unless required by law or platform rules, diamonds are non-refundable after purchase or consumption.

7. CherryTalk Premium Subscription

CherryTalk Premium (VIP) is a monthly auto-renewable subscription purchased through the Apple App Store, Google Play, or on the CherryTalk website through Stripe. Premium benefits include 2,000 diamonds credited for each paid subscription period, additional daily check-in rewards, expanded story memory, memory editing, and other benefits described in the app or on the website.

The subscription price, billing period, currency, taxes, renewal timing, and cancellation rules shown by the store or checkout page you use apply at the time of purchase. Website subscriptions are $19.99 per month plus applicable taxes, charged to your payment method through Stripe at the start of each period. Only one active subscription is permitted per account: a website subscription cannot start while an App Store or Google Play membership is active, and a website subscription that is paid while such a membership is active will be canceled and refunded.

You can manage or cancel a store subscription in your Apple ID or Google Play subscription settings, and a website subscription from Manage subscription in your wallet. Cancellation takes effect at the end of the current paid period; a failed renewal does not extend benefits or credit diamonds. Deleting CherryTalk does not cancel a store subscription, and an active website subscription must be canceled before the account can be deleted. Store refund requests are handled by the store under its policies; website refunds are reviewed by us, and a full refund reverses the diamonds and membership period granted for that payment.

8. Payment Verification and Entitlements

We verify Apple App Store, Google Play, and Stripe transactions before granting diamonds, subscription status, or related entitlements. Entitlements may be delayed if the applicable store, network services, or our verification systems are unavailable. We may correct balances, revoke mistakenly granted entitlements, or adjust records where needed to address errors, fraud, refunds, chargebacks, platform notices, or abuse.

9. Account Deletion

You may request deletion of your CherryTalk account in the app or by contacting us at [email protected]. Account deletion may permanently remove or anonymize your account data, chat history, diamonds, membership status, unlocked content, and related records, subject to limited retention for payment, security, audit, dispute, or legal compliance purposes.

10. Intellectual Property

CherryTalk, including its software, design, characters, artwork, text, logos, service structure, and non-user content, is owned by VISIONTAP or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of CherryTalk or any related intellectual property to you.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use CherryTalk for personal entertainment purposes.

11. Privacy

Our Privacy Policy explains how we collect, use, store, and share information. By using CherryTalk, you acknowledge that we process information as described in the Privacy Policy.

12. Suspension and Termination

We may suspend, limit, or terminate your access to CherryTalk if we reasonably believe you violated these Terms, created risk or harm, attempted fraud or abuse, or used CherryTalk in a way that could harm users, VISIONTAP, service providers, platforms, or the service.

13. Disclaimers

CherryTalk is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

14. Limitation of Liability

To the maximum extent permitted by law, VISIONTAP will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, virtual items, or service availability. Our total liability for claims related to CherryTalk will not exceed the amount you paid to CherryTalk during the 12 months before the claim arose, or USD 100, whichever is greater.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as updating the effective date, posting a notice, or providing an in-app notice. Continued use of CherryTalk after updated Terms become effective means you accept the updated Terms.
